We are planning to make some changes to the constitution of the Beech Village Hall charity. We will be holding an Extraordinary General Meeting on December 27 at 6.15pm to allow villagers to vote on these changes. All adult residents of Beech are invited.
We must hold this meeting now because we are applying for grants to support the redevelopment of the Annexe to form The Wellhouse. Some of the possible funding organisations require our Constitution to have a Dissolution Clause, which specifies what would happen to the Charity’s assets if it had to be wound up. The Management Committee proposes to use the standard wording recommended by the Charity Commission, which has given us its consent. We now need to ask for the approval of our Members and stakeholders in the village.
At the same time, we have discovered that the Charity Commission does not hold a record of updates that were made to the Constitution in 2006, so our legally valid Constitution is the one written in 1963. We need to make some changes to bring this up to date, especially with regards to the size and composition of the Management Committee. We will be asking for approval for those changes, too.
